1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and SquadScan ("Company," "we," "us," or "our") concerning your access to and use of the SquadScan website and platform (the "Service").
By accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Service.
2. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide notice through the Service or by other means. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

3. Definitions
- "Account" means a unique account created for you to access our Service.
- "Company" refers to SquadScan, located in Indiana, United States.
- "Content" refers to text, images, photos, or other information that can be posted, uploaded, or otherwise made available through the Service.
- "Service" refers to the SquadScan website and platform.
- "User" or "You" means any individual or entity accessing or using the Service.
- "School" refers to educational institutions that use the Service to manage athletic rosters and schedules.
- "Athlete Data" refers to information about student athletes including but not limited to names, photos, jersey numbers, positions, and other roster information.
4. Account Registration
To use certain features of the Service, you must register for an Account. When you register, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your Account information to keep it accurate and complete.
- Maintain the security and confidentiality of your password and Account credentials.
- Accept responsibility for all activities that occur under your Account.
- Notify us immediately of any unauthorized use of your Account.
We reserve the right to suspend or terminate your Account at any time for any reason, including if we believe you have violated these Terms.
5. Age Requirements
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service.
The Service is primarily intended for use by school administrators, coaches, and athletic directors. Schools are responsible for ensuring compliance with applicable laws regarding the collection and use of student data, including but not limited to FERPA and COPPA.
6. User Responsibilities
You agree that you will:
- Use the Service only for lawful purposes and in accordance with these Terms.
- Obtain all necessary consents and authorizations before uploading Athlete Data to the Service.
- Ensure that any Content you upload does not violate the rights of any third party.
- Not use the Service in any way that could damage, disable, or impair the Service.
- Not attempt to gain unauthorized access to any part of the Service.
- Not use any automated means to access the Service without our express written permission.
7. Athlete Data and Privacy
Schools and authorized users may upload Athlete Data to the Service for the purpose of managing athletic rosters and schedules. By uploading Athlete Data, you represent and warrant that:
- You have the authority to upload such data on behalf of your school or organization.
- You have obtained all necessary consents from athletes, parents, or guardians as required by applicable law.
- The use of such data complies with your school's policies and applicable laws, including FERPA.
We take the privacy and security of Athlete Data seriously. Please refer to our Privacy Policy for more information about how we collect, use, and protect your data.
8. Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of SquadScan and its licensors. The Service is protected by copyright, trademark, and other laws.
You retain ownership of any Content you upload to the Service. By uploading Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such Content solely for the purpose of providing the Service.
9. Third-Party Services
The Service may integrate with or utilize third-party services, including but not limited to:
- Cloud storage and image hosting services
- Email delivery services
- Hosting and infrastructure services
- Database services
Your use of such third-party services may be subject to additional terms and conditions. We are not responsible for the practices or policies of third-party service providers.
10. Service Availability
We strive to provide reliable access to the Service, but we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SQUADSCAN, LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service; or
- Unauthorized access, use, or alteration of your transmissions or content.
13. Indemnification
You agree to defend, indemnify, and hold harmless SquadScan and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:
- Your use of the Service;
- Your violation of these Terms;
- Your violation of any rights of another party, including any intellectual property rights; or
- Any Content you upload to the Service.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Indiana, and you consent to the personal jurisdiction of such courts.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SquadScan regarding your use of the Service and supersede all prior agreements and understandings.
